Duties:

  • Work with private equity funds, independent sponsors, and portfolio companies on M&A transactions and capital raises.

  • Draft operating and partnership agreements.

  • Address the day-to-day legal needs of portfolio companies.

  • Draft M&A transaction documents and negotiate important transaction agreements.

  • Collaborate with team members to provide legal support across various practice areas.

  • Participate in professional and community organizations for ongoing development.

Requirements:

  • Experience working with private equity funds, independent sponsors, and portfolio companies.

  • Strong academic background and superior drafting and research skills.

  • Ability to negotiate complex transaction documents.

  • Diligent, detail-oriented, proactive, and team-oriented.

  • Strong interpersonal skills and the ability to collaborate effectively with clients and colleagues.

  • Must be admitted to the Colorado Bar.

  • Willingness to engage in professional development through community involvement.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be admitted to the Colorado Bar.

Skills:

  • Expertise in drafting and negotiating M&A transaction documents.

  • Strong research, analytical, and writing skills.

  • Knowledge of private equity funds and portfolio company operations.

  • Ability to manage complex legal matters and support clients in various stages of transactions.

  • Excellent communication skills for client and team collaboration.
