Job Overview: A law firm in Houston, TX, is seeking a Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience. Duties:

  • Provide legal counsel and support to clients in capital markets transactions, including IPOs, follow-on public offerings, and private placements.
  • Draft and review legal documents, including offering memoranda, prospectuses, and transaction agreements.
  • Conduct due diligence and research related to securities regulations and compliance.
  • Advise clients on regulatory matters and assist in navigating securities laws.
  • Collaborate with other attorneys and legal professionals to ensure timely and effective completion of transactions.
  • Assist in the preparation and filing of necessary regulatory documents with relevant authorities.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Texas State Bar or eligibility for admission by waiver.
  • 4-6 years of experience practicing law, focusing on capital markets transactions.
  • Strong understanding of U.S. securities laws and regulations.
  • Proven track record in representing underwriters, issuers, and placement agents in capital markets offerings.
  • Excellent analytical, drafting, and communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:
