Job Title: Mid-Level Federal Tax Associate Attorney

Job Overview:
A prestigious law firm based in New York City is actively seeking a mid-level associate attorney with a strong foundation in federal income tax law. This role offers the opportunity to work on sophisticated and diverse matters across mergers and acquisitions, investment structures, and financial transactions. Duties:

  • Advise clients on federal tax implications of:

    • Domestic and international mergers and acquisitions

    • Real estate investments and REIT structures

    • Private equity fund formation and structuring

    • Venture capital transactions

    • Debt restructuring, bankruptcy tax considerations, and workouts

    • Capital markets transactions and structured finance

  • Draft and review transaction documents related to tax structuring and compliance

  • Partner with deal teams to evaluate transaction risks and tax-efficient structuring

  • Conduct legal research and draft memoranda on complex federal tax issues

  • Support business development through thought leadership and client service excellence

  • Independently manage components of complex transactions under partner supervision

Requirements:

  • 3-5 years of post-JD experience practicing federal income tax law at a major or boutique law firm

  • Demonstrated ability to manage tax aspects of corporate and financing transactions

  • Exceptional written and verbal communication abilities

  • Strong legal analysis, drafting, and issue-spotting skills

  • Licensed to practice in New York (or eligible for admission)

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

  • Strong academic credentials required

Certifications:

  • Active membership in the New York State Bar

  • Additional Bar memberships are a plus

Skills:

  • Deep understanding of Subchapter C and transactional tax planning

  • Familiarity with international tax, REITs, fund structures, and partnerships

  • Strong interpersonal skills for client interaction and cross-functional teamwork

  • Proficient in legal research tools and tax code interpretation

  • Ability to manage multiple priorities with precision and efficiency
