Job Overview:
A law firm is seeking an experienced transactional/regulatory attorney with substantial expertise in the 1940 Act, including the Investment Advisers Act (IAA) and the Investment Company Act (ICA). This role will focus on market regulation and provide an opportunity for a partner or counsel-level candidate to supplement their book of business or pursue a part-time opportunity. The firm is open to considering candidates regardless of office location, with remote work available depending on jurisdiction.

Location:

Duties:

  • Advise clients on matters related to the 1940 Act, including the IAA and ICA.
  • Handle regulatory and transactional work related to market regulation.
  • Draft and review documents concerning regulatory compliance under the 1940 Act.
  • Manage complex legal matters related to investment advisory and investment company issues.
  • Provide proactive guidance on regulatory compliance.
  • Build and maintain client relationships, handling matters independently as required.

Requirements:

  • Substantial expertise in the 1940 Act, including the IAA and ICA.
  • Experience working for the SEC or a law firm specializing in these areas is preferred.
  • Strong background in transactional and regulatory matters.
  • Ability to manage complex legal work independently.
  • Excellent communication and client engagement skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the state bar in relevant jurisdiction(s).

Skills:

  • Deep knowledge of the 1940 Act, IAA, and ICA.
  • Expertise in regulatory and transactional legal matters.
  • Strong written and verbal communication skills.
  • Ability to manage multiple complex legal matters.
  • Excellent client relationship management skills.
