A law firm in Washington, DC, is seeking a Mid/Senior-Level Finance Associate Attorney with substantial experience in representing lenders, private equity, and corporate borrowers in various debt financing transactions. The ideal candidate will have 4-6 years of experience in handling commercial bank loans, alternative/private credit lender loans, and institutional term loans. The role requires a deep understanding of debt financing structures and the ability to manage complex transactions with minimal supervision.

Duties and Responsibilities

  • Represent lenders and/or private equity and corporate borrowers in commercial bank loans, alternative/private credit lender loans, institutional term loans, and other debt financing transactions.
  • Draft, review, and negotiate loan agreements, security documents, intercreditor agreements, and related documentation.
  • Provide legal advice on financing structures, compliance with covenants, and risk management strategies.
  • Coordinate with clients, financial institutions, and other stakeholders to ensure smooth transaction processes and resolve any issues that arise.
  • Manage due diligence processes and supervise junior attorneys and legal staff involved in document preparation and transaction management.
  • Conduct thorough analysis of financial and legal documents to ensure accuracy and compliance with applicable laws and regulations.
  • Assist with special projects and provide support on complex financing matters as needed.

Requirements

  • 4-6 years of experience in finance law, specifically representing lenders, private equity, and corporate borrowers.
  • Proven track record in handling commercial bank loans, alternative/private credit lender loans, institutional term loans, and other debt financing transactions.
  • Strong experience in drafting and negotiating loan agreements, security documents, and related legal documentation.
  • Excellent analytical skills and the ability to manage complex transactions with minimal supervision.
  • Demonstrated ability to work effectively with clients, financial institutions, and other stakeholders.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications

  • Admission to the relevant state bar (Washington, DC).

Skills

  • Expertise in debt financing structures, including commercial bank loans, alternative/private credit lender loans, and institutional term loans.
  • Strong drafting and negotiation skills for loan agreements and related documents.
  • Excellent communication skills, both written and verbal, with the ability to clearly convey complex legal and financial concepts.
