A law firm in New York City, NY, is seeking a skilled Capital Markets Associate Attorney with 2-5 years of experience to join its growing team. The ideal candidate will have substantial experience in capital markets transactions, securities law, and corporate finance. This role involves advising clients on a variety of public and private offerings, complex financial transactions, and compliance matters. The candidate will work with a diverse clientele, including public companies, investment banks, and private equity firms, to help structure and execute significant financial transactions.

Key Responsibilities:

  • Advise clients on a broad range of capital markets transactions, including IPOs, follow-on offerings, private placements, and other debt and equity offerings.
  • Draft and review offering documents, including prospectuses, registration statements, indentures, and underwriting agreements.
  • Counsel clients on compliance with securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related SEC regulations.
  • Assist clients with SEC filings, including periodic reports, proxy statements, and other disclosure obligations.
  • Provide legal support in connection with corporate governance matters, including advising boards of directors and senior management on fiduciary duties, disclosure obligations, and governance best practices.
  • Conduct due diligence for capital markets transactions and provide risk assessments to clients.
  • Collaborate with cross-practice teams within the firm, including M&A, tax, and regulatory groups, to offer comprehensive legal advice.
  • Keep clients informed on relevant legal and regulatory developments affecting the capital markets.
  • Build and maintain strong client relationships through effective communication and by delivering high-quality legal services.
  • Support business development efforts by participating in client pitches and contributing to thought leadership initiatives.

Requirements:

  • 2-5 years of experience in capital markets transactions, with a focus on securities law, corporate finance, or related areas.
  • Deep understanding of federal securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and applicable SEC regulations.
  • Proven ability to manage and execute complex capital markets transactions independently.
  • Strong drafting and negotiation skills, particularly with respect to securities offering documents and related agreements.
  • Demonstrated experience in advising clients on public and private offerings and SEC compliance matters.
  • Excellent research, analytical, and problem-solving skills.
  • Ability to manage multiple projects simultaneously in a fast-paced, high-pressure environment.
  • Strong client-service orientation with a commitment to delivering quality results.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar in good standing (or eligible for admission).

  • Superior written and verbal communication skills, with the ability to convey complex legal concepts to clients.
  • High attention to detail and strong organizational skills.
  • Proficiency in drafting, reviewing, and negotiating complex transaction documents.
