A law firm is seeking a dedicated and experienced mid/Senior-Level Public Mergers and Acquisitions Associate Attorney to join its team in Philadelphia, PA. The ideal candidate will have substantial experience handling mergers and acquisitions transactions involving public companies, both on the sell-side and buy-side, and related securities laws. This role requires high expertise, outstanding academic credentials, and excellent communication skills.

Duties

• Manage and execute mergers and acquisitions transactions involving public companies.
• Advise clients on both sell-side and buy-side M&A transactions.
• Provide legal counsel on related securities laws and regulations.
• Draft, review, and negotiate transaction documents, including merger, asset, and stock purchase agreements.
• Conduct due diligence and coordinate with other legal and business professionals.
• Ensure compliance with all applicable laws and regulations.
• Collaborate with clients to understand their business objectives and provide strategic legal advice.
• Assist in the preparation and submission of regulatory filings and reports.
• Support senior attorneys in complex transactions and client engagements.
• Mentor and guide junior associates and support staff.

Requirements

• 3-6 years of experience in mergers and acquisitions and transactional law.
• Significant experience with M&A transactions involving public companies.
• Comprehensive knowledge of related securities laws.
• Proven track record of managing and closing M&A transactions.
• Outstanding academic credentials.
• Comparable law firm experience.
• Excellent written and verbal communication skills.
• Strong analytical and problem-solving abilities.
• Ability to work effectively in a fast-paced and dynamic environment.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Relevant Pennsylvania Bar admission or eligibility to obtain admission promptly.
