A law firm is seeking a dedicated and experienced mid/Senior-Level Public Mergers and Acquisitions Associate Attorney to join its team in Philadelphia, PA. Duties

  • Manage and execute mergers and acquisitions transactions involving public companies.
  • Advise clients on both sell-side and buy-side M&A transactions.
  • Provide legal counsel on related securities laws and regulations.
  • Draft, review, and negotiate transaction documents, including merger, asset, and stock purchase agreements.
  • Conduct due diligence and coordinate with other legal and business professionals.
  • Ensure compliance with all applicable laws and regulations.
  • Collaborate with clients to understand their business objectives and provide strategic legal advice.
  • Assist in the preparation and submission of regulatory filings and reports.
  • Support senior attorneys in complex transactions and client engagements.
  • Mentor and guide junior associates and support staff.

Requirements

  • 3-6 years of experience in mergers and acquisitions and transactional law.
  • Significant experience with M&A transactions involving public companies.
  • Comprehensive knowledge of related securities laws.
  • Proven track record of managing and closing M&A transactions.
  • Outstanding academic credentials.
  • Comparable law firm experience.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work effectively in a fast-paced and dynamic environment.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Relevant Pennsylvania Bar admission or eligibility to obtain admission promptly.
