Job Overview:

This opportunity is ideal for a candidate with deep knowledge of financial transaction frameworks, especially about leveraged buyouts and large credit facilities. The ideal applicant will bring a refined understanding of high-value financial deals and a proven ability to navigate the nuances of transactional law. Duties:

  • Structure, draft, and negotiate documentation for syndicated loan transactions and other sophisticated lending arrangements

  • Provide counsel to financial institutions and borrowers in connection with complex commercial financing matters

  • Perform due diligence, risk analysis, and legal research to ensure regulatory compliance and transaction integrity

  • Collaborate with internal and client-side teams, including banking and corporate professionals, to drive deal closure

  • Offer strategic advice on issues relating to credit structures, security interests, and transactional liabilities

  • Handle all phases of deal execution from preliminary discussions to post-closing matters

Requirements:

  • 4-7 years of legal experience in financial services or transactional law

  • Strong background in syndicated credit agreements, leveraged financing, and capital structures

  • Demonstrated ability to manage multiple high-stakes matters in a fast-paced environment

  • Exceptional communication, analytical, and organizational skills

  • Proven ability to work independently while maintaining close coordination with deal teams

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in at least one U.S. jurisdiction

  • North Carolina Bar membership preferred or eligibility to be waived in

Skills:

  • Deep understanding of Article 9 of the Uniform Commercial Code (UCC)

  • Familiarity with inter-creditor agreements, collateral documentation, and financial covenants

  • Ability to distill and communicate complex legal principles to diverse stakeholders

  • Strong drafting skills with an eye for precision and risk mitigation

  • The high degree of professional discretion and sound judgment
