Job Overview

A prominent law firm is seeking an experienced Corporate Transactions Associate Attorney to provide comprehensive legal support to a diverse clientele, including public companies, private equity clients, venture capital firms, and financial institutions. The role involves advising on complex transactions such as mergers, acquisitions, equity financings, and governance matters. This position allows for remote work two days a week.

Location

Duties

  • Advise clients on U.S. and international transactions, including mergers, acquisitions, leveraged acquisitions, joint ventures, asset sales, and restructurings.
  • Provide legal guidance on control and non-control investments, tender offers, recapitalizations, and securities law matters.
  • Counsel venture-backed and emerging growth companies on equity financings, cap table management, and corporate governance.
  • Draft and negotiate a range of documents, including:
    • Corporate transaction documents (e.g., merger agreements, stock purchase agreements).
    • Commercial agreements (e.g., term sheets, letters of intent, confidentiality agreements).
    • Governance documents (e.g., charters, by-laws, stockholders’ agreements).
    • Capital markets filings and NVCA standard transaction documentation.
  • Prepare memoranda and presentations on corporate, contract, and conflict of law issues.
  • Advise on governance best practices for directors and officers.
  • Oversee transaction processes, including coordination with specialists and handling client inquiries.
  • Conduct buy-side and sell-side due diligence and synthesize findings for client memoranda.
  • Manage corporate records and maintain company books, including drafting meeting minutes and resolutions.
  • Mentor and train junior attorneys.

Requirements

  • Juris Doctor (JD) or Master of Laws (LLM) in Law.
  • Minimum of two years of experience as an Associate Attorney, focusing on corporate transactions.
  • Proven expertise in drafting and negotiating documentation for mergers and acquisitions, joint ventures, and various equity investments.
  • Proficiency in structuring convertible debt and equity securities, including PIPEs and warrants, and reviewing financial models to ensure legal documentation aligns with economic terms.
  • Active license to practice law in the State of New York.

Education

  • Juris Doctor (JD) or Master of Laws (LLM) from an accredited law school.

Certifications

  • Active New York State Bar membership required.

Skills

  • Strong legal research, analytical, and drafting skills.
  • Ability to negotiate complex transaction documents effectively.
  • Excellent organizational skills and attention to detail.
  • Ability to manage multiple transactions simultaneously and prioritize tasks.
  • Strong interpersonal skills for client communication and collaboration.
  • Familiarity with Microsoft Office Suite and legal research tools.
