A law firm seeks a Tax Associate to join its expanding transactional tax team in Redwood City, CA. This is an exciting opportunity for an attorney with experience in transactional tax, M&A, and partnership matters, particularly in fund formation, REITs, joint ventures, and private equity. Candidates with a strong academic background and solid communication skills will thrive in this role.

Duties

  • Provide strategic tax advice on transactional matters, focusing on M&A, joint ventures, fund formation, and REITs.
  • Assist in private equity and other M&A-related tax issues.
  • Draft and review tax documents, including partnership agreements and tax structuring documents.
  • Collaborate with clients and internal teams to identify tax-efficient solutions.
  • Stay current with tax law developments and guide their application to client matters.

Requirements

  • 3-5 years of experience in transactional tax law, with exposure to general M&A and partnership issues.
  • Strong experience in fund formation, REITs, joint ventures, and private equity.
  • Excellent written and verbal communication skills.
  • Ability to manage complex tax matters and develop client relationships.

Education

  • J.D. from an accredited law school.
  • LL.M. in Taxation is preferred, or significant tax coursework at the J.D. level.

Certifications

  • Must be licensed to practice law in the state of California or eligible for admission.

Skills

  • Strong technical understanding of tax laws and regulations, especially as they pertain to M&A and private equity.
  • Detail-oriented with excellent organizational skills.
  • Proficient in tax research and legal writing.
  • Ability to work collaboratively in a team-oriented environment.
  • Proficiency with legal research tools and software.
