Job Overview:
A law firm based in Orlando, FL, is seeking a Corporate Debt Finance Associate Attorney with 3-5 years of experience to join their team. The ideal candidate will have a strong background in negotiating, structuring, and documenting debt finance transactions, preferably with experience representing private equity sponsors or lenders in leveraged buyouts and acquisition financing transactions. Exceptional writing and analytical skills are essential for this role.

Duties:

  • Negotiate, structure, and document debt finance transactions.
  • Provide legal counsel and support to private equity sponsors or lenders in leveraged buyouts and acquisition financing transactions.
  • Conduct legal research and analysis related to debt finance matters.
  • Draft legal documents, including loan agreements, security documents, and opinion letters.
  • Collaborate with other attorneys and support staff to ensure timely and accurate completion of transactions.
  • Assist with due diligence reviews and risk assessments for debt finance transactions.

Requirements:

  • 3-5 years of experience in corporate debt finance transactions.
  • Familiarity with negotiating, structuring, and documenting debt finance transactions.
  • Experience representing private equity sponsors or lenders in leveraged buyouts and acquisition financing transactions is preferred.
  • Excellent writing and analytical skills.
  • Prior experience at an Am Law 100 law firm is desirable.
  • Must have a Juris Doctor degree from an ABA-accredited law school (law school classes 2019, 2020, or 2021).
  • Admission to the Florida Bar.
