Job Overview:
A leading law firm is seeking a mid-level Finance Associate to join its Financial Restructuring practice in New York. The ideal candidate will have 4-6 years of experience handling complex debt financing transactions, including acquisition financing, term loan facilities, working capital facilities, and more. This role offers the opportunity to work on new loan originations, managing existing capital structures, and gaining exposure to restructuring and special situations.

Location:

  • New York, NY

Duties:

  • Handle a wide range of complex debt financing transactions, including acquisition financing, term loan facilities, and working capital facilities.
  • Draft and negotiate commitment letters, sponsor grids, unitranche facilities, and intercreditor arrangements.
  • Advise clients on capital structure management and new loan originations.
  • Work with private credit and debt funds, ad hoc lender groups, investment and commercial banks, and corporate borrowers.
  • Represent clients in special situations, workouts, and restructuring transactions (in and out of court).
  • Collaborate with senior attorneys and support staff in managing client matters.

Requirements:

  • 4-6 years of experience in finance law, particularly with debt financing transactions.
  • Experience in acquisition financing, term loan facilities, and intercreditor arrangements.
  • Knowledge of private credit and sponsor-backed financing is highly preferred.
  • Interest or experience in distressed credit and restructuring is a plus.
  • Strong analytical skills and the ability to manage complex financing deals.
  • Excellent communication and client management skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar (required).

Skills:

  • Proficiency in drafting and negotiating complex financing documents.
  • Strong legal research, writing, and analytical abilities.
  • Excellent verbal and written communication skills.
  • Ability to work independently and as part of a collaborative team.
  • Strong organizational skills and attention to detail.
