Job Location: New York City, NY

Job Overview: A law firm is seeking a highly skilled and motivated Mid-to-Senior-Level Technology Transactions Associate Attorney to join their team in New York City. This role requires a deep understanding of commercial matters involving intellectual property, including licensing, trade secret protection, and privacy issues. The ideal candidate will have substantial experience in evaluating and advising on IP and tech issues in various corporate transactions.

Duties and Responsibilities:

  • Draft, review, and negotiate technology-related agreements, including licensing, development, manufacturing, tolling, supply, distribution, and other service agreements.
  • Provide legal advice on intellectual property matters, including trade secret protection and privacy compliance.
  • Evaluate and advise on IP and technology issues in general corporate transactions such as mergers and acquisitions, carve-outs, spin-offs, private equity deals, and debt financings.
  • Conduct IP due diligence for corporate transactions and provide strategic advice to clients.
  • Collaborate with cross-functional teams, including corporate, litigation, and regulatory attorneys, to ensure comprehensive legal support.
  • Stay updated on legal developments in technology and IP law to provide proactive advice and training to clients.
  • Assist in managing client relationships and contribute to business development efforts.

Requirements:

  • 4-6 years of experience in commercial matters involving intellectual property.
  • Significant experience with technology transactions and related agreements.
  • Proven track record of advising on IP and technology issues in corporate transactions.
  • Strong analytical skills and attention to detail.
  • Excellent negotiation and communication skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong client service orientation and ability to work collaboratively with internal and external stakeholders.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.

Certifications:

  • Admission to practice law in the State of New York is required.

Skills:

  • In-depth knowledge of intellectual property law, including licensing, trade secrets, and privacy issues.
  • Proficiency in drafting and negotiating complex agreements.
  • Strong research and analytical skills.
