Senior Associate Investment Funds

A law firm seeks a Senior Associate to join its Investment Funds team in New York, NY. This role focuses on advising clients on structuring and establishing U.S. and non-U.S. investment funds, managed accounts, and other investment vehicles, including general partners, investment managers, and investment advisers. The Senior Associate will also assist clients with regulatory compliance, document drafting, and negotiations related to various investment entities and secondary market transactions.

Duties

• Advise clients on structuring and establishing U.S. and international investment funds, managed accounts, and investment vehicles.
• Assist with the creation of conduit/access funds, general partners, investment managers, and investment advisers.
• Draft and negotiate a variety of investment-related documents, including governing documents, offering materials, subscription documents, investment management agreements, and placement agent agreements.
• Provide counsel on carried interest structures and long-term incentive plans, including the drafting of relevant documents.
• Offer advice and guidance to clients on legal and regulatory compliance, particularly in the area of securities law filings.
• Assist international institutional investors with investments in private equity, real estate, debt/credit, and venture capital sectors.
• Negotiate and document agreements related to secondary market transactions, such as continuation funds.
• Support clients in drafting and negotiating various other agreements to meet legal and business requirements.
• Collaborate with clients and legal teams to ensure compliance with evolving legal and regulatory standards.

Requirements

• A Master's degree or foreign equivalent in law or a related field.
• At least five years of experience in investment fund structuring, drafting, and negotiation, or a closely related field.
• Proven experience advising on U.S. and non-U.S. investment funds, managed accounts, and investment vehicles.
• Strong knowledge of regulatory compliance, including securities law filings and fund structures.
• Experience working with international institutional investors in various investment sectors, including private equity, real estate, and venture capital.
• Expertise in drafting and negotiating investment-related agreements and secondary market transactions.
• Ability to manage multiple projects and work effectively in a team-oriented environment.

Education

• Master's degree or foreign equivalent in law or a related field.

Certifications

• Admission to the bar is preferred.
