A law firm based in Scottsdale, AZ, is currently seeking a highly skilled mid-to-senior level Business Law Attorney to join their team. This remote position is ideal for an attorney with a solid background in entity creation, corporate governance, and business law, with a particular focus on the healthcare industry. In this role, you will provide expert guidance on business formation, structuring, compliance, and other corporate legal matters, assisting clients in navigating complex business landscapes.

Duties:

  • Advise clients on the creation and structuring of various business entities such as corporations, LLCs, and partnerships.
  • Draft, review, and negotiate operating agreements, shareholder agreements, bylaws, and other essential corporate governance documents.
  • Offer counsel on regulatory compliance and entity maintenance, ensuring businesses remain in good standing.
  • Assist with mergers, acquisitions, and other corporate transactions, including conducting due diligence and structuring deals.
  • Represent clients in legal disputes concerning business formation and entity governance.
  • Stay updated on business law developments, regulatory changes, and industry trends.
  • Provide ongoing legal advice to clients as they grow and evolve their business operations.
  • Collaborate with a team of legal professionals on various business and healthcare law matters.

Requirements:

  • Juris Doctor (JD) from an accredited law school.
  • Minimum of 5 years of experience practicing business law with a focus on entity creation and corporate governance.
  • In-depth understanding of corporate laws, regulations, and business formation strategies.
  • Excellent communication skills, both written and verbal, with the ability to advise and collaborate effectively with clients.
  • Strong organizational skills and attention to detail, capable of handling multiple projects simultaneously.
  • Ability to work independently in a remote setting, with an emphasis on team collaboration and engagement.
  • Admission to the Arizona State Bar.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:
