Duties:

  • Led and managed mergers and acquisitions transactions with minimal supervision.
  • Provide legal counsel on general corporate matters related to M&A activities.
  • Conducted due diligence investigations and drafted necessary documentation for M&A transactions.
  • Advise clients on regulatory compliance issues and potential risks associated with M&A deals.
  • Collaborate with internal teams and external stakeholders to ensure smooth execution of transactions.
  • Stay updated on relevant legal developments and industry trends in mergers and acquisitions.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Maryland State Bar or eligibility for admission via reciprocity.
  • Minimum of 9 years of experience practicing law, focusing on mergers and acquisitions.
  • Demonstrated ability to handle M&A transactions from start to finish independently.
  • Strong understanding of corporate governance principles and regulatory frameworks.
  • Excellent analytical and problem-solving skills with attention to detail.
  • Proven track record of delivering high-quality legal services within established timelines.
  • Ability to work effectively independently and as part of a collaborative team environment.

Preferred Qualifications:

  • Experience advising clients in a private company and/or private equity transactions.
