A law firm in New York City, NY is seeking an experienced Projects (M&A) Counsel to join their team. This role involves providing strategic legal advice and support on mergers and acquisitions projects, ensuring compliance and facilitating successful transactions.

Duties and Responsibilities:

  • Advise clients on mergers, acquisitions, divestitures, joint ventures, and other corporate transactions.
  • Conduct thorough due diligence reviews and risk assessments for M&A transactions.
  • Draft, review, and negotiate transactional documents such as purchase agreements, merger agreements, and confidentiality agreements.
  • Provide guidance on corporate governance matters and regulatory compliance related to M&A transactions.
  • Collaborate with internal teams, clients, opposing counsel, and regulatory authorities throughout all stages of transactions.
  • Assist in structuring complex corporate transactions to align with client objectives and legal requirements.
  • Conduct legal research on various issues and provide clear and practical recommendations to clients.
  • Stay updated on changes in corporate laws, regulations, and market trends impacting M&A transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in good standing in New York.
  • Should have experience practicing law with a focus on mergers and acquisitions, preferably within a law firm setting.
  • Proven track record of successfully managing and closing M&A transactions.
  • Strong knowledge of corporate finance, securities laws, and regulatory compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work both independently and collaboratively in a team-oriented environment.
  • Exceptional attention to detail and strong analytical skills.
  • Commitment to maintaining high ethical standards and client confidentiality.

Preferred Certifications:

  • Certification in Mergers and Acquisitions (M&A) or related field is advantageous.

Preferred Skills:

  • Experience with international M&A transactions.
  • Familiarity with tax implications in corporate transactions.
  • Proficiency in additional languages is a plus.
