Key Responsibilities:

  • Facilitate M&A transactions and general corporate matters, providing support throughout the entire process, including due diligence, contract drafting, and negotiations.
  • Assist in preparing and reviewing various corporate documents, including purchase agreements, partnership agreements, and shareholder agreements.
  • Collaborate with senior attorneys to structure transactions that align with both regulatory standards and client objectives.
  • Conduct legal research and draft legal memoranda on corporate law issues, providing insights and recommendations to inform transaction strategies.
  • Work directly with clients to understand their business objectives and legal needs, translating these into tailored legal solutions.
  • Oversee document management and project timelines to ensure that all transactions proceed smoothly and efficiently.
  • Stay updated on regulatory developments and best practices in corporate law, applying this knowledge to provide proactive client service.

Requirements:

  • 2-4 years of experience in corporate law, specifically within general corporate and M&A transactions.
  • Licensed to practice law in Illinois and in good standing with the bar.
  • Demonstrated experience drafting and negotiating corporate transaction documents, with strong attention to detail.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.

Educational Background:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic performance with an emphasis on corporate law coursework.

Certifications and Licensure:

  • Active membership in the Illinois Bar is required.
  • Additional certifications relevant to corporate law are beneficial but not mandatory.
