A law firm seeks a talented Corporate Associate to join its dynamic team in Dallas, TX. This position offers an exciting opportunity for an experienced attorney with a strong foundation in corporate law, particularly in mergers and acquisitions (M&A) and private equity. Ideal candidates will bring at least 5-8 years of relevant experience and have the drive to contribute meaningfully to complex corporate transactions. While experience in securities law is a plus, it is not required. Duties

  • Provide legal counsel on various corporate matters, including mergers and acquisitions and private equity transactions.
  • Draft, review, and negotiate various corporate agreements, including transactional documents and investment agreements.
  • Advise clients on corporate governance, compliance, and regulatory matters.
  • Collaborate with other attorneys and internal teams to support clients on complex corporate transactions and deal structuring.
  • Conduct legal research and stay current on corporate law developments and industry trends.
  • Support clients through due diligence processes and assist with risk management.
  • Play an integral role in developing and maintaining client relationships and ensuring high-quality service delivery.

Requirements

  • At least 5-8 years of experience in corporate law, with a focus on mergers and acquisitions and private equity.
  • Strong understanding of general corporate law and transactional matters.
  • Experience with securities law is preferred, but not required.
  • Excellent communication and interpersonal skills, with the ability to build relationships with clients and colleagues.
  • Proven ability to manage multiple tasks and meet deadlines in a fast-paced environment.
  • Self-motivated and confident, with a strong team player mentality.
  • Must be admitted to practice in Texas.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admitted to practice law in Texas.
