Corporate Associate Attorney

A law firm seeks a highly motivated and experienced Corporate Associate Attorney to join its Corporate Transactions & Securities practice. The ideal candidate will have 3-5 years of experience handling complex transactional matters, such as mergers & acquisitions, corporate governance, and securities matters. Duties:

• Assist in mergers and acquisitions, drafting and negotiating related agreements and documents
• Handle corporate governance matters and securities issues
• Collaborate with senior attorneys to manage complex transactions
• Draft, review, and amend commercial contracts and agreements
• Conduct legal research and provide strategic counsel to clients on corporate matters
• Maintain client relationships and ensure timely and high-quality service delivery
• Support in compliance matters and regulatory filings

Requirements:

• 3-5 years of experience in corporate law, specifically in transactional matters and M&A
• Strong background in commercial contracts, corporate governance, and securities law
• Ability to handle complex transactions and legal issues independently and with minimal supervision
• Excellent written and verbal communication skills
• Strong attention to detail with a commitment to producing high-quality work
• Ability to work in a fast-paced environment while maintaining a high level of client service
• Experience with due diligence processes and document preparation

Education:

• J.D. from an ABA-accredited law school

Certifications:

• Admitted to the Bar in the state of Ohio
