Job Overview:

A law firm in Charlotte, NC is seeking a Complex Credit and Insurance Solutions Associate Attorney with 4-6 years of experience. This role involves working with complex credit fund formation and insurance solutions for private fund sponsors, requiring substantial expertise in private fund formation and management.

Duties:

  • Draft and negotiate fund documentation including private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, and legal opinions.
  • Manage fundraises from launch to close, interfacing with clients and negotiating with investors.
  • Oversee the subscription process, including side letter negotiations and reviewing subscription documentation.
  • Handle closing mechanics and regulatory filings.
  • Ensure compliance with the Investment Advisers Act, Regulation D, and exemptions to the Investment Company Act.

Requirements:

  • 4-6 years of relevant experience in complex credit fund formation and insurance solutions.
  • Prior experience with private credit or CLOs is advantageous.
  • Large Law Firm experience required.
  • Understanding of federal securities laws and fund regulatory requirements.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in North Carolina.

Skills:

  • Strong drafting and negotiation skills.
  • Expertise in private fund formation and fundraising processes.
  • Ability to manage complex projects and client relationships.
  • In-depth knowledge of securities laws and regulations.
