The ideal candidate will have a strong background in corporate matters, particularly in advising nonprofit organizations throughout their lifecycle, from formation to ongoing governance. This role involves working closely with clients and supporting them through legal processes, offering strategic advice, and drafting key documents. Duties:

  • Advise nonprofit clients on governance, legal structure, and compliance.
  • Assist in entity formation, including legal entity analysis and filing.
  • Prepare and file IRS exemption applications.
  • Provide advice on unrelated business taxable income (UBTI).
  • Draft and negotiate contracts relevant to nonprofit organizations.
  • Conduct state and federal tax-specific research for nonprofit entities.
  • Support clients with planned giving and charitable gifts (experience preferred, but not required).
  • Maintain strong, professional relationships with clients and colleagues.
  • Demonstrate responsiveness to client needs and contribute to the firm’s success.

Requirements:

  • Minimum 4 years of experience in corporate law, specifically with nonprofit organizations and tax-exempt entities.
  • Proven ability to manage multiple matters and prioritize effectively.
  • Client-facing experience with a focus on building long-term relationships.
  • Strong written and verbal communication skills.
  • Excellent attention to detail and a high standard of work ethic.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Must be licensed to practice law in the state of Michigan.
