Key Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Form and obtain tax-exempt status for nonprofit corporations and charitable trusts.
  • Provide counsel to private foundations on grant agreements, tax compliance, and succession planning.
  • Advise philanthropists on making charitable gifts and utilizing donor-advised funds.
  • Assist large 501(c)(3) organizations with corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures involving nonprofit organizations.
  • Offer legal guidance on complex structures involving both for-profit and nonprofit entities.
  • Represent tax-exempt organizations in federal and state audits related to tax and charitable matters.

Requirements:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Colorado State Bar or eligibility to waive in.
  • Significant experience advising private foundations and charitable organizations.
  • Demonstrated expertise in nonprofit tax law, particularly about 501(c)(3) organizations.
  • Experience with grant agreements, tax compliance, and nonprofit governance.
  • Knowledge of donor-advised funds, private foundations, and charitable giving strategies.
  • Strong understanding of mergers, joint ventures, and affiliations within the nonprofit sector.
  • Experience representing organizations in federal and state audits on tax and charitable issues.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Colorado State Bar (or ability to be admitted).

Certifications:

  • Active Colorado State Bar membership or ability to obtain it.
