Corporate Associate Attorney

A law firm in Minneapolis, MN, is seeking a Corporate Associate Attorney with expertise in securities law compliance, corporate governance, and general corporate matters. The ideal candidate will have demonstrated experience advising public companies on SEC compliance matters, including financial reporting, as well as handling significant governance transactions.

Job Duties:

• Provide counsel on a wide range of securities law compliance, disclosure, and corporate governance matters.
• Work closely with the firm's Public Companies and Governance team to support day-to-day securities law counseling for public companies.
• Assist in significant governance transactions such as executive succession, corporate crises, shareholder proposals, and shareholder activism.
• Advise on general corporate matters, including securities offerings and mergers and acquisitions.
• Conduct legal research, draft legal documents, and provide strategic advice to clients.
• Ensure compliance with SEC regulations and other applicable laws.
• Maintain regular communication with clients and internal stakeholders, demonstrating responsiveness and professionalism.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Minnesota State Bar or eligibility for admission through reciprocity.
• 4-5 years of experience advising public companies on securities compliance, including financial reporting and other '34 Act compliance matters, and corporate governance.
• Prior experience with general corporate matters, securities offerings, and/or mergers and acquisitions is beneficial.
• Strong academic credentials with a demonstrated interest in public company compliance and corporate governance.
• Excellent communication skills, both written and verbal, with the ability to convey complex legal concepts effectively.
• Commitment to providing high-quality legal services with attention to detail and accuracy.
• Ability to work independently and collaboratively in a team-oriented environment.

Preferred Certifications:

• Certification or training in securities regulation or corporate governance is a plus.
