A law firm in San Francisco, CA, is seeking a Mid-level to Senior Corporate - Fund Formation Lawyer with extensive experience in the formation and administration of private investment funds. The ideal candidate will have a strong background in corporate law, particularly in advising fund managers on structuring, regulatory compliance, and market practices.

 

Duties and Responsibilities:

  • Provide strategic legal counsel to emerging and established fund managers on all aspects of private investment fund formation, including structuring, documentation, and compliance.
  • Draft, review, and negotiate fund formation documents such as limited partnership agreements, subscription agreements, and private placement memoranda.
  • Conduct due diligence and risk assessments related to fund formation projects, ensuring compliance with federal securities laws and regulations.
  • Advise clients on governance issues, operational matters, and investor relations for private investment funds.
  • Collaborate closely with clients, internal teams, and external stakeholders to develop tailored legal strategies and solutions.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the California State Bar.
  • 5-7 years of comprehensive experience practicing law, with a focus on corporate law and private investment fund formation.
  • In-depth knowledge of the Investment Advisers Act of 1940 and other relevant federal securities statutes.
  • Exceptional academic credentials and demonstrated proficiency in legal research, writing, and analytical skills.
  • Strong organizational skills, meticulous attention to detail, and effective communication abilities.
  • Previous experience within the Securities and Exchange Commission (SEC) or related regulatory bodies is advantageous.

 

Preferred Skills:

  • Familiarity with current trends and best practices in private investment fund structures and strategies.
  • Ability to manage multiple priorities and work effectively in a collaborative team environment.
  • Experience mentoring junior attorneys and developing legal talent within a firm setting.
