Job Overview:

Duties:

  • Advise clients on corporate governance, mergers and acquisitions (M&A), securities, and finance issues

  • Provide counsel on fund formation, securities compliance, and regulatory issues
  • Conduct legal research and offer strategic guidance on corporate and securities matters
  • Lead due diligence processes, negotiations, and closings for corporate transactions

Requirements:

  • 3+ years of experience in corporate law, M&A, fund formation, finance, or securities
  • Strong understanding of corporate and securities law and regulations
  • Proven experience drafting and negotiating transactional documents
  • Excellent written and verbal communication skills
  • Strong academic credentials
  • Ability to prioritize and manage multiple tasks efficiently
  • Admission to practice law

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to practice law in Delaware
