Duties:

  • Led and supported M&A and private equity transactions, including due diligence, contract negotiation, and drafting.
  • Advise clients on complex corporate governance, securities law matters, and related transactional issues.
  • Collaborate with a team of attorneys on structuring, documenting, and closing transactions.
  • Conduct legal research and analysis on evolving regulatory changes in corporate law.
  • Prepare and review a wide range of legal documents, including agreements, contracts, and memorandums.
  • Maintain strong client relationships and assist with business development efforts.
  • Provide strategic legal counsel on issues affecting corporate restructuring, acquisitions, and investments.

Requirements:

  • 3-7 years of relevant experience in corporate M&A and Private Equity matters.
  • Significant experience handling complex corporate transactions from start to finish.
  • Strong analytical and legal writing skills with attention to detail.
  • Proven ability to manage multiple high-priority projects and deadlines.
  • Prior experience in an Am Law 100 law firm or equivalent environment.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admission to the Florida Bar or eligibility to gain admission promptly.

Skills:

  • Expertise in mergers and acquisitions, private equity, and corporate law.
  • Exceptional drafting, research, and negotiation skills.
  • Proficiency in legal technologies and tools.
