Key Responsibilities:

  • Oversee and participate in all aspects of mergers, acquisitions, and other corporate transactions, from due diligence to closing.
  • Provide advice and draft documentation for various corporate matters, including asset purchases, stock acquisitions, joint ventures, and reorganizations.
  • Review and negotiate contracts, agreements, and other legal documents to support client business objectives.
  • Assist clients in structuring and strategizing corporate transactions to meet both regulatory and financial objectives.
  • Support senior attorneys and partners in complex legal transactions, offering well-researched insights and options.
  • Engage directly with clients to understand and assess their goals, delivering clear, actionable legal recommendations.
  • Stay updated on relevant legislation and legal trends to apply current knowledge to transactional and corporate matters.

Requirements:

  • 5-8 years of experience in general corporate law, including experience in mergers and acquisitions, ideally within a law firm or similar professional setting.
  • Admission to the Illinois bar and active membership in good standing.
  • Proven success in drafting and negotiating corporate agreements and transactional documents.
  • Demonstrated proficiency in managing multiple, concurrent projects, with strong organizational abilities.

Educational Background:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic record with a demonstrated commitment to legal excellence.

Certifications and Licensure:

  • Licensed to practice law in the state of Illinois.
  • Additional licensures or certifications relevant to corporate law are advantageous but not required.
