Job Overview:

A law firm is seeking a mid-level to senior Corporate Associate with experience in public companies and capital markets. This position focuses on managing public company compliance, SEC regulations, and representing clients in capital market transactions. Ideal candidates will have a background in technology and/or life sciences sectors.

Location:

  • Boston, MA

Duties:

  • Oversee public company reporting compliance, including SEC filings and governance
  • Address compliance and governance issues, including Nasdaq/NYSE regulations
  • Represent issuers or investment banks in capital market transactions such as:
    • IPOs
    • Equity and debt offerings
    • Private investments in public entities (PIPEs)
    • At-the-market offerings
  • Support clients in the technology and life sciences sectors

Requirements:

  • Demonstrated experience in public company compliance, disclosure, and governance
  • Background in capital markets transactions
  • Knowledge of SEC regulations and Nasdaq/NYSE compliance requirements
  • Familiarity with technology and/or life sciences companies is advantageous

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing in the relevant jurisdiction(s)

Skills:

  • Expertise in public company governance and SEC compliance
  • Proficient in capital markets transactions
  • Strong communication and client service skills
  • Ability to handle multiple transactions and deadlines effectively
