Job Overview: A law firm seeks an experienced Finance & Restructuring Counsel to join its team, offering the opportunity to represent financial institutions and corporate trust clients in complex corporate trust transactions. This role requires at least seven years of transactional experience in areas such as structured finance, municipal debt, and corporate debt issuances. Duties:

  • Represent financial institutions and corporate trust clients in structured finance transactions (e.g., RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Draft, negotiate, and review a variety of transactional agreements, including trust indentures, loan agreements, account control agreements, agency agreements, custodial agreements, and other related documents.
  • Manage multiple complex transactions simultaneously with minimal supervision.
  • Provide strategic legal advice to clients, ensuring that agreements align with client needs and regulatory requirements.
  • Work collaboratively with other attorneys, paralegals, and legal staff, managing and mentoring junior team members.
  • Build and maintain strong client relationships by demonstrating exceptional client service and attention to detail.

Requirements:

  • At least 7 years of transactional experience in finance and restructuring, particularly in structured finance, municipal debt, and corporate debt issuances.
  • Proven expertise in reviewing, negotiating, and drafting a wide range of transactional agreements.
  • Strong written and verbal communication skills, with an emphasis on clear and concise legal drafting.
  • Ability to manage multiple assignments effectively and efficiently with minimal supervision.
  • Demonstrated leadership abilities, with a willingness to manage junior lawyers and paralegals.
  • Excellent client relationship management skills, with a focus on delivering high-quality legal services.
  • A collaborative team player with a strong work ethic and the ability to thrive in a fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar admission in at least one jurisdiction is required.

  • Strong drafting, negotiating, and reviewing skills for various transactional agreements.
