Location:

Duties:

  • Advise clients on executive compensation and employee benefits matters, particularly in the context of M&A.
  • Handle compensation-related issues and provide guidance on related tax and securities law matters.
  • Draft and negotiate executive compensation agreements, equity plans, and related documents.
  • Support clients with complex transactions and compensation arrangements.
  • Collaborate with team members and senior attorneys on client matters.
  • Maintain strong relationships with clients and provide strategic legal advice on compensation matters.

Requirements:

  • 1-3 years of experience in executive compensation and employee benefits law, with a focus on M&A.
  • Strong understanding of tax and securities law related to executive compensation.
  • Experience managing compensation-related aspects of mergers and acquisitions.
  • Excellent written and verbal communication skills.
  • Ability to work both independently and in a team environment.
  • Active Bar membership in California.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
  • Superior academic credentials.

Certifications:

  • Active Bar License in California.

Skills:

  • Knowledge of executive compensation and employee benefits law.
  • Strong deal experience, particularly in the context of M&A.
  • Expertise in tax and securities law as it relates to compensation matters.
  • Excellent legal research, drafting, and analytical skills.
  • Strong interpersonal and client management skills.
  • Ability to thrive in a collaborative, fast-paced environment.
