Duties:

  • Advise clients on corporate finance transactions, focusing on leverage finance and borrower-side representation.
  • Draft, review, and negotiate complex financial documents, including loan agreements, security agreements, and inter-creditor agreements.
  • Conduct due diligence and identify potential legal and financial risks in proposed transactions.
  • Collaborate with internal and external legal teams, financial advisors, and clients to structure and execute economic transactions.
  • Provide ongoing legal support and advice to clients on compliance with financial regulations and contractual obligations.
  • Represent clients in negotiations with lenders, investors, and other stakeholders.
  • Prepare and deliver presentations on transaction structures, legal considerations, and risk management strategies.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry practices affecting corporate finance.

Requirements:

  • 3-6 years of experience as a corporate finance attorney, with a significant focus on leverage finance and borrower-side representation.
  • Strong understanding of financial products, markets, and instruments used in corporate finance transactions.
  • Proven experience in drafting and negotiating complex financial documents.
  • Excellent analytical, organizational, and communication skills.
  • Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
  • Demonstrated ability to work collaboratively as part of a team and independently.
  • Strong client management skills with a commitment to providing exceptional service.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar in good standing.

Certifications:

  • Additional corporate finance or related field certifications are optional.

Skills:

  • Proficiency in legal research tools and financial analysis software.
  • Strong drafting and negotiation skills.
  • Excellent written and verbal communication skills.
  • High level of attention to detail and accuracy.
