Job Overview:
A prestigious law firm is seeking a highly skilled Finance and Restructuring Associate to join its expanding Finance & Restructuring practice group. This position offers the opportunity to work on complex corporate finance and restructuring matters, advising financial institutions, borrowers, and other clients in commercial finance transactions. Location:

Duties:

  • Draft and negotiate finance-related documents, including loan agreements, security agreements, and intercreditor agreements.
  • Advise financial institutions, borrowers, and clients on covenant compliance and related finance matters.
  • Lead and manage due diligence teams, ensuring effective coordination and execution.
  • Provide strategic legal counsel on commercial finance transactions, including loan originations and real estate financings.
  • Manage multiple assignments concurrently, prioritizing work effectively with minimal supervision.
  • Collaborate closely with clients and internal teams to drive successful outcomes for complex financial transactions.

Requirements:

  • 3 to 6 years of experience in corporate finance or restructuring, with a focus on commercial finance transactions.
  • Proven ability to draft and negotiate finance-related documents, such as loan agreements and intercreditor agreements.
  • Strong advisory experience in covenant compliance, transaction structuring, and financial regulation.
  • Leadership experience in managing due diligence teams and coordinating with specialists.
  • Strong ability to manage multiple tasks and deliver results in a fast-paced environment.
  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the Bar in the relevant state jurisdiction(s).

Skills:

  • Expertise in corporate finance, commercial finance transactions, and real estate financings.
  • Proficiency in drafting complex legal documents related to finance and restructuring.
  • Strong leadership, teamwork, and client management abilities.
  • Exceptional organizational skills, with the ability to prioritize tasks and manage multiple assignments simultaneously.
  • Proficiency in Microsoft Office Suite and legal research tools.
