Job Overview:

A law firm is seeking a highly experienced Lending Lawyer to join their team in Miami, FL. The ideal candidate will have significant experience in commercial lending and secured transactions and be capable of taking the first chair role in corporate, commercial, and asset-based financing matters. Experience in mergers and acquisitions and corporate transactions is a plus. The candidate must demonstrate a commitment to a team approach, collaborating with firm members and counterparties to deliver exceptional client service. Admission to The Florida Bar or a willingness to become admitted is required.

Job Responsibilities:

  • Lead and manage corporate, commercial, and asset-based financing transactions.
  • Draft, review, and negotiate loan agreements, security agreements, and other lending-related documentation.
  • Provide legal advice on commercial lending and secured transactions.
  • Collaborate with clients, team members, and counterparties to structure and execute financing deals.
  • Conduct due diligence and ensure compliance with applicable laws and regulations.
  • Represent clients in negotiations and legal proceedings related to lending transactions.
  • Advise on mergers and acquisitions and corporate transactions as needed.
  • Maintain up-to-date knowledge of industry trends and legal developments in commercial lending.
  • Foster strong client relationships and provide proactive legal support.

Requirements:

  • Significant experience in commercial lending and secured transactions.
  • Ability to take the first chair role in financing matters.
  • Experience in mergers and acquisitions and corporate transactions is preferred.
  • Strong commitment to teamwork and collaboration.
  • Excellent negotiation and communication skills.
  • Admission to The Florida Bar or willingness to become admitted.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in The Florida Bar or eligibility for admission.

Skills:

  • In-depth knowledge of commercial lending and secured transactions.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong analytical and problem-solving skills.
