Job Title: Senior Executive Compensation And Employee Benefits Associate Attorney Or Counsel

Job Overview: A highly respected law firm in Denver, CO is seeking an experienced Senior Associate or Junior Counsel to specialize in executive compensation and employee benefits, particularly focusing on mergers and acquisitions. This role will require an individual adept at handling sophisticated transactions and providing expert advice in relation to compensation and benefits matters.

Duties:

  • Draft and negotiate executive employment agreements.
  • Develop and manage equity incentive plans, including profits interest plans.
  • Advise clients on compensation and benefit aspects of mergers and acquisitions.
  • Provide counsel on regulatory compliance matters, including tax and securities laws.
  • Assist in drafting plan documents and related materials for executive compensation arrangements.
  • Coordinate with other practice groups, particularly corporate, tax, and employment teams, to ensure seamless transaction execution.

Requirements:

  • Experience in executive compensation and employee benefits.
  • Strong knowledge and experience with M&A-related compensation and benefits issues.
  • Expertise in drafting and negotiating executive employment agreements and equity incentive plans.
  • Strong research and analytical skills, particularly in tax and regulatory matters.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar in at least one U.S. jurisdiction (Colorado preferred).

Certifications:

  • Bar admission in good standing, with eligibility to practice in Colorado.

Skills:

  • Exceptional legal drafting and negotiation abilities.
  • Strong interpersonal and communication skills for client-facing responsibilities.
  • Ability to work collaboratively across multiple practice areas.
  • Excellent organizational skills with an ability to manage multiple projects.
