Job Overview:
A well-regarded law firm is seeking an experienced Mergers & Acquisitions (M&A) attorney to join its New York office. The ideal candidate will have at least five years of experience in corporate transactions, including mergers, acquisitions, corporate restructurings, strategic partnerships, private equity investments, and cross-border transactions. This role offers the opportunity to work on a wide range of complex corporate matters, including researching and analyzing transactional issues, while also supporting the firm’s Delaware office.

Duties:

  • Work on a variety of corporate transactions, including mergers, acquisitions, divestitures, corporate restructurings, and private equity investments.
  • Handle complex financing, cross-border transactions, and joint ventures.
  • Provide support on general corporate matters, such as contract review, corporate governance, and issuing legal opinions.
  • Analyze transactional situations and provide legal advice to clients.
  • Manage project timelines, workflows, and deliverables to meet client deadlines.
  • Draft and negotiate transaction documents, including purchase agreements, asset purchase agreements, and joint venture agreements.
  • Work closely with senior partners, associates, and clients on strategy and execution of transactions.
  • Manage and mentor junior associates, offering guidance on complex legal matters.

Requirements:

  • At least 5 years of experience in corporate law, specifically in M&A and related transactions.
  • Experience in handling joint ventures, purchases, sales, corporate restructurings, and private equity investments.
  • Strong project management and organizational skills, with the ability to manage multiple projects simultaneously in a fast-paced environment.
  • Experience working in the business/corporate group of a large law firm is preferred.
  • Strong verbal and written communication skills.
  • A team-oriented mindset with the ability to thrive in a collaborative environment.
  • Must be admitted to the New York Bar, or be able to waive into the New York Bar.
  • Excellent academic credentials and strong legal analysis skills.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Active membership in the New York Bar (required).

  • Strong contract negotiation and drafting skills.
  • Ability to manage and prioritize complex projects.
