Job Overview: A law firm seeks an experienced associate to join its Corporate Mergers & Acquisitions (M&A) practice in New York. This role involves advising clients on complex business transactions, including mergers, acquisitions, divestitures, and joint ventures. The ideal candidate will have a strong background in private equity transactions, corporate structuring, and financial institutions, with the ability to provide strategic legal guidance in high-value deals.

Duties

  • Advise clients on mergers, acquisitions, divestitures, and joint ventures.

  • Work closely with private equity funds and financial institutions on transactional matters.

  • Draft and negotiate key corporate agreements, including purchase and shareholder agreements.

  • Conduct due diligence and assess legal risks related to M&A transactions.

  • Collaborate with multidisciplinary teams to provide comprehensive legal solutions.

  • Assist in structuring and executing transactions for a diverse client base, including global investment firms and independent sponsors.

  • Stay updated on regulatory and market trends affecting corporate transactions.

Requirements

  • Minimum of 3 years of experience in M&A and private equity transactions.

  • Strong knowledge of corporate governance, finance, and transactional law.

  • Ability to work independently and within a team on complex business matters.

  • Exceptional analytical, negotiation, and communication skills.

  • Commitment to providing high-quality client service and meeting deadlines.

Education

  • Juris Doctor (JD) or Master of Laws (LLM) from an ABA-accredited law school.

Certifications

  • Admission to the New York State Bar or eligibility for admission.

  • Expertise in corporate transactional law, including M&A and private equity.

  • Strong drafting and negotiation capabilities for corporate agreements.

  • Ability to manage multiple projects and balance competing priorities.
