Job Title: Corporate Special Counsel

Job Location: Washington, DC

Job Overview: A prominent law firm is seeking an experienced transactional attorney to join its dynamic Corporate practice in Washington, DC. This position offers an exciting opportunity to work on high-profile mergers & acquisitions, joint ventures, financing, corporate governance matters, and other business transactions. This is a non-partnership track role, ideal for a skilled attorney seeking significant responsibility and the chance to collaborate in a supportive and professional team environment.

Duties:

  • Manage and execute complex corporate transactions, including mergers & acquisitions, joint ventures, and financing matters.
  • Provide legal counsel on corporate governance and various business transaction matters.
  • Collaborate with senior attorneys and clients to develop legal strategies and solutions.
  • Draft, review, and negotiate corporate agreements and legal documents.
  • Ensure compliance with applicable laws and regulations in all corporate legal matters.
  • Handle client communications and maintain strong client relationships.
  • Maintain billing records and meet a reasonable billable hour target.

Requirements:

  • A minimum of 6 years of experience in corporate law, particularly with mergers & acquisitions, joint ventures, and corporate governance.
  • Strong understanding of corporate legal matters, with a focus on business transactions and financing.
  • Proven track record of managing complex legal matters with minimal supervision.
  • Excellent analytical, organizational, and communication skills.
  • Ability to work effectively in a collaborative and fast-paced environment.
  • Highly motivated, with a strong commitment to professional development.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Must be a member in good standing with the DC Bar.

Skills:

  • Strong legal writing, drafting, and negotiation skills.
  • Expertise in corporate law, with a specific focus on mergers & acquisitions and governance matters.
  • Ability to analyze complex legal issues and provide clear, practical advice.
  • Client management and relationship-building capabilities.
  • Proficiency in Microsoft Office and legal research tools.
