Job Overview: A law firm is seeking a Corporate Associate Attorney with 4-6 years of corporate transactional experience to join their growing team. The role offers the opportunity to engage in sophisticated and challenging work, particularly in private equity and finance. The ideal candidate will work closely with a collaborative team while handling complex corporate matters in various industries.

Location:

  • Parsippany, NJ

Duties:

  • Handle corporate transactional matters including mergers and acquisitions, private equity transactions, private placements of debt and equity securities, and venture capital financing.
  • Advise clients on corporate governance, regulatory compliance, securities law, and state corporate law.
  • Engage in strategic joint ventures, capital markets, corporate governance, and private investment fund matters.
  • Work with a variety of clients, including publicly listed companies, closely-held and family-owned businesses, across multiple industries such as energy, real estate, banking, healthcare, and technology.
  • Collaborate with team members on high-net-worth family office transactions and general middle-market corporate matters.

Requirements:

  • 4-6 years of corporate transactional experience.
  • Strong technical, professional, and client service skills.
  • Excellent communication skills, both written and verbal.
  • Ability to work independently and proactively, developing creative solutions to meet client needs.
  • Team-oriented with a collaborative work style.
  • Experience in automotive dealership and franchise law is a plus.
  • Member of the New Jersey Bar in good standing.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the New Jersey Bar is required.

Skills:

  • Strong background in mergers and acquisitions, private equity, and corporate finance.
  • Ability to advise clients on a broad range of corporate law matters.
  • Problem-solving and critical thinking skills to independently address complex issues.
  • Strong client relationship management and service orientation.
