A law firm seeks a seasoned Emerging Companies and Venture Capital (ECVC) Attorney to join its Business Practice Group in Washington, DC. This role offers an extensive platform to engage with a diverse business and corporate client base. The attorney will provide strategic guidance to early-stage and emerging companies, particularly on capital raising and financing, while handling sophisticated transactions across various industries.

Duties

  • Provide ongoing, close counsel to small and large business clients on general corporate governance.
  • Lead capital-raising transactions, including private offerings and debt/equity financing from angel investors, venture capital funds, and other sources.
  • Structure and oversee complex transactions for emerging brands across a range of industry sectors.
  • Collaborate with attorneys across multiple office locations on cross-functional client matters.
  • Advise clients on securities matters, capital markets, mergers and acquisitions, and public company issues.
  • Foster long-term client relationships by delivering high-quality, proactive legal solutions.
  • Participate in pro bono and public service matters, contributing to firm initiatives on social impact.

Requirements

  • Experience: Minimum of 7 years of experience representing early-stage brands in capital raise transactions, including private offerings and financing from various investor sources. Additional expertise in public company issues, capital markets, and M&A is advantageous.
  • Book of Business: A partial portable client base is required.
  • Academic Credentials: JD from an ABA-accredited law school with strong academic performance.
  • Licensing: Active law license.
  • Skills: Excellent analytical, writing, and client-service skills, with a strong commitment to communication and client satisfaction.
  • Project Management: Ability to manage significant responsibilities independently while also collaborating within a diverse team.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • Proficiency in corporate governance and venture capital transaction structuring.
  • In-depth knowledge of capital markets and regulatory compliance for both public and private companies.
  • Skilled in drafting, negotiating, and advising on capital raise and investment documents.
  • Strong organizational and time management abilities, with meticulous attention to detail.
  • Effective communicator capable of handling high-stakes client interactions and investor negotiations.
