Job Overview:

A law firm in Kansas City, MO, is seeking a Junior to Mid-Level Global Franchise and Supply Network Associate Attorney. The role involves working across various areas of franchise and distribution law, focusing on the development, structuring, and management of franchise and distribution programs and handling cross-border transactions. Key Responsibilities:

  • Develop and Structure Franchise and Distributor Programs
    • Collaborate with clients to develop and structure franchise and distribution systems.
    • Provide legal advice on the creation and operation of franchise programs.
  • Assess and Counsel on Franchise Contract and Relationship Issues
    • Evaluate franchise agreements and advise on compliance with relevant laws and regulations.
    • Counsel clients on franchise relationship management, including renewal, termination, and non-compete issues.
  • Draft Franchise Disclosure Documents and Agreements
    • Prepare and review Franchise Disclosure Documents (FDDs) and related franchise agreements.
    • Ensure compliance with federal and state franchise disclosure requirements.
  • Perform State Franchise Registrations
    • Handle the registration and renewal of franchise offerings in various states.
    • Maintain up-to-date knowledge of state-specific franchise registration requirements.
  • Negotiate Supply Contracts and Other Transactions
    • Draft, review, and negotiate supply agreements and related contracts.
    • Work closely with clients to structure and finalize transactional documents.
  • Assist in Franchise Dispute Resolution
    • Support clients in resolving franchise disputes through negotiation, mediation, or litigation.
    • Work with senior attorneys to develop strategies for dispute resolution.
  • Handle International Development and Cross-Border Transactions
    • Advise clients on international franchise expansion and cross-border legal issues.
    • Draft and negotiate international franchise agreements and related documentation.

Requirements:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience:
    • Experience in franchise law or related fields.
    • Prior experience in a law firm setting is required.
  • Skills:
    • Strong legal research, writing, and drafting skills.
    • Excellent communication skills, both written and verbal.
    • Ability to manage multiple projects and deadlines.
    • Detail-oriented with strong organizational skills.
    • Proficiency in handling complex legal transactions.

Certifications:

  • Bar Admission: Must be admitted to practice law in Missouri or eligible for admission on waiver.
