Job Overview

A law firm is seeking a dedicated and skilled Commercial Transaction Associate Attorney to join their team in Detroit, MI. The ideal candidate will have a strong background in complex commercial transactions, particularly in procurement and supply chain, and can provide high-quality legal support and advice to the firm's diverse client base.

Key Responsibilities

• Draft, review, and negotiate a wide range of complex commercial agreements, including purchasing and supply agreements, outsourcing agreements, service agreements, and technology agreements.
• Provide legal analysis, litigation, and dispute resolution support.
• Conduct due diligence and offer support on various legal issues related to commercial transactions.
• Assist in developing legal strategies to manage supplier risk and ensure compliance with laws and regulations.
• Participate in the continuous improvement of standard form agreements and legal processes.
• Deliver high-quality work products and effectively communicate at all levels within the firm and with clients.
• Demonstrate excellent problem-solving skills, high energy, and enthusiasm for corporate counseling in the relevant client sector.
• Exhibit highly responsive, creative, and efficient work habits.
• Strive to continuously improve knowledge, skills, and abilities and seek guidance and feedback to enhance performance and productivity.

Requirements

• 2-4 years of experience in complex commercial transactions in a law firm or corporate legal department, ideally in procurement and supply chain.
• Skilled in working across diverse industry lines, including automotive (OEM and tiered suppliers), general manufacturing, private equity, and technology.
• Substantive knowledge of Article 2 and Article 9 of the UCC.
• Ability to organize, prioritize, and complete numerous tasks under significant time constraints.
• Outstanding interpersonal, analytical, organizational, and communication (written and verbal) skills.

Education

• J.D. degree from an ABA-accredited institution.

Certifications

• Licensed Illinois or Michigan attorney in good standing (or with the ability to waive into either jurisdiction).
