Job Overview: A law firm in Dallas, TX, is seeking a Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience. The ideal candidate will have U.S. capital markets experience representing underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings. Experience representing public companies in the '34 Act work is a plus.

Duties:

  • Provide legal counsel and support on various capital markets transactions, including IPOs, follow-on public offerings, and private placements.
  • Draft, review, and negotiate transaction documents, including offering memoranda, underwriting, and purchase agreements.
  • Conduct legal research and due diligence related to securities laws, regulations, and compliance matters.
  • Collaborate with internal and external stakeholders, including clients, underwriters, and regulatory agencies, to facilitate successful transaction execution.
  • Assist in preparing and filing regulatory documents and disclosures with the SEC and other relevant authorities.
  • Stay abreast of developments in securities laws, regulations, and market trends to advise clients effectively.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility for admission via waiver.
  • 4-6 years of relevant experience in capital markets transactions at a reputable law firm or in-house legal department.
  • Demonstrated experience in representing underwriters, issuers, and placement agents in securities offerings.
  • Familiarity with the '34 Act work and other relevant securities laws and regulations.
  • Strong analytical, communication, and negotiation skills.
  • Ability to manage multiple priorities and work efficiently in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of Texas or eligibility for admission via waiver.
