A law firm is seeking a Corporate Fund Formation Associate Attorney to join its Seattle, WA office. The ideal candidate will have extensive experience in private investment fund formation and counseling, as well as relevant corporate and securities regulations. This position requires superior academic credentials, top-tier professional experience, and excellent communication and teamwork skills. The candidate must be entrepreneurial and a self-starter, and must be barred in the state of Washington.

 

Duties and Responsibilities:

  • Lead and manage the formation of private investment funds, including venture funds, venture studios, incubators, accelerators, and crypto venture funds.
  • Draft and negotiate fund documentation such as limited partnership agreements, subscription agreements, and private placement memoranda.
  • Advise clients on fund structuring and regulatory compliance.
  • Provide ongoing counseling to fund managers and investors on fund-related matters.
  • Advise clients on corporate governance issues, including fiduciary duties and conflicts of interest.
  • Assist clients with regulatory filings and compliance matters related to private investment funds.
  • Ensure compliance with federal and state securities laws and regulations.
  • Advise clients on SEC regulations, including Investment Company Act, Investment Advisers Act, and other relevant regulations.
  • Handle securities filings and reporting requirements.
  • Negotiate and draft transactional documents for fund-related investments.
  • Coordinate with other practice groups within the firm on multi-disciplinary transactions.
  • Provide support on mergers and acquisitions, joint ventures, and other corporate transactions involving fund clients.
  • Participate in client pitches and business development activities.
  • Build and maintain relationships with existing and prospective clients.
  • Stay abreast of industry trends and developments to provide proactive advice to clients.

 

Experience:

  • 3-4 years of experience in private investment fund formation and counseling.
  • In-depth knowledge of corporate and securities regulations.
  • Experience with venture funds, venture studios, incubators, accelerators, and crypto venture funds is highly desirable.

 

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Superior academic credentials.

 

Certifications:

Must be Barred in the state of Washington.
