Job Overview
A prestigious law firm is seeking a Counsel to join its Menlo Park, CA  office. This role involves leading legal representation for clients in complex domestic and international corporate law matters, with a focus on transactional issues such as mergers and acquisitions, venture capital, and data privacy.

Location

Duties

  • Lead and supervise legal representation in complex corporate law areas
  • Provide legal advice on transactional and general corporate matters, including venture capital, private equity, and M&A
  • Work with startups and technology companies, representing venture capitalists
  • Manage multiple projects and devise complex transaction structures
  • Draft and negotiate M&A and venture financing documents
  • Advise on compliance with GDPR and CCPA, and data security issues
  • Cultivate client relationships and develop legal solutions to meet business objectives
  • Conduct research and prepare corporate documents, legal memoranda, and opinion letters
  • Prepare and deliver oral presentations to various audiences
  • Direct a team of associates and paralegals, managing resources and guiding work
  • Engage in business development and thought leadership activities

Requirements

  • Juris Doctor (JD) or Master of Laws (LLM) from an ABA-accredited law school
  • Minimum of 5 years of experience in corporate law, with at least 4 years at a multinational law firm
  • Experience with venture capital, private equity, M&A, and cross-border transactions valued over $5 million
  • Familiarity with advising on data security and privacy regulations
  • Excellent cross-cultural communication skills, both oral and written
  • Must be licensed to practice law in California

Education

  • Juris Doctor (JD) or Master of Laws (LLM)

Certifications

  • Active membership in the California Bar
