Job Overview: A law firm is seeking a skilled Nonprofit Corporate Attorney with 2+ years of experience to join its team of school advocates. Duties:
Advise nonprofit organizations on formation, 501(c)(3) applications, and ongoing compliance requirements.
Structure and negotiate complex business transactions, including mergers, joint ventures, and strategic partnerships.
Draft and review corporate governance documents, including bylaws, board policies, and conflict of interest procedures.
Counsel boards of directors on fiduciary duties and best practices.
Manage state charitable registration and reporting requirements.
Requirements:
2+ years of experience as a nonprofit corporate attorney.
California Bar license in good standing.
Strong experience in advising nonprofit organizations on governance, compliance, and regulatory issues.
Experience structuring and negotiating complex business transactions, including mergers and joint ventures.
Knowledge of 501(c)(3) applications and compliance.
Ability to provide strategic advice and counsel to nonprofit organizations and their boards.
Excellent written and verbal communication skills.
Education:
Juris Doctor (J.D.) degree from an accredited law school.
Certifications:
Admission to the California State Bar.
Skills:
Expertise in nonprofit corporate law.
Strong knowledge of business transactions and nonprofit governance.
Experience with 501(c)(3) applications and compliance.
Excellent drafting, negotiation, and communication skills.
Ability to work independently and as part of a collaborative team.
