Job Overview:
A prominent law firm is seeking a highly skilled Finance and Restructuring Associate to join its practice group. This role offers a unique opportunity to work on complex corporate finance transactions, including loan originations, real estate financings, and advising financial institutions and borrowers. The position is available across multiple office locations with hybrid work flexibility.

Location:

  • Philadelphia, PA

Duties:

  • Draft and review loan agreements, security documents, intercreditor agreements, and other related documents
  • Advise clients on covenant compliance and manage corporate finance transactions
  • Lead due diligence teams and coordinate specialists in financial transactions
  • Manage and execute real estate financings and loan originations
  • Collaborate with financial institutions, borrowers, and private credit clients to structure financial solutions
  • Work independently to manage multiple assignments with minimal supervision
  • Assist in restructuring transactions, as needed, within the finance and restructuring space

Requirements:

  • 3 to 6 years of experience in corporate finance, commercial finance transactions, or restructuring matters
  • Proven experience in drafting loan agreements, security documents, and intercreditor agreements
  • Strong understanding of corporate finance law and related areas
  • Ability to advise clients on complex transactions and covenant compliance
  • Experience leading due diligence teams and managing transaction specialists
  • Ability to independently manage multiple assignments and prioritize tasks effectively
  • Excellent written and oral communication skills

Education:

  • J.D. from an accredited law school

Certifications:

  • Admission to the relevant state bar for the office location

Skills:

  • Advanced legal writing and drafting abilities
  • Strong analytical and problem-solving skills
  • Excellent communication and interpersonal skills
  • Ability to manage complex projects and transactions with limited supervision
