Duties:

  • Provide tax planning and advisory services in federal, state, and international tax law matters.
  • Assist clients in mergers and acquisitions, capital markets transactions, and corporate finance.
  • Advise on equity financings, technology transfers, and complex licensing/collaboration arrangements.
  • Support both domestic and international tax planning initiatives for clients.
  • Work collaboratively with other departments to deliver comprehensive legal services.
  • Maintain strong client relationships and provide exceptional client service.
  • Prepare and review tax-related documents, agreements, and filings.
  • Manage a diverse caseload in a fast-paced, deadline-driven environment.
  • Participate in business development activities, including client pitches and presentations.

Requirements:

  • 5+ years of experience in tax law, with a focus on mergers and acquisitions, capital markets, and corporate finance.
  • In-depth knowledge of federal, state, and international tax law.
  • Experience advising clients in technology, life sciences, or growth enterprise sectors is preferred.
  • Proven ability to work in a fast-paced environment and manage multiple tasks effectively.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong work ethic, attention to detail, and analytical ability.
  • Ability to work independently and as part of a collaborative team.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Active bar membership in a relevant jurisdiction.
  • Additional certifications or licenses in tax law (e.g., CPA) are a plus but not required.

Skills:

  • Expertise in federal, state, and international tax law.
  • Strong knowledge of corporate tax issues, including mergers, acquisitions, and financing.
  • Experience in technology transfers, licensing agreements, and tax planning.
  • Exceptional written and verbal communication skills.
  • Client-focused with the ability to build and maintain strong relationships.
  • Ability to thrive in a collaborative, cross-departmental work environment.
