Job Overview:
A fast-growing boutique corporate law firm is seeking an experienced Corporate Associate with 3 years of experience in M&A, private equity, and venture capital transactions. The ideal candidate will have a strong background in providing high-level guidance on complex corporate transactions, including financings, mergers, acquisitions, and strategic licensing. This opportunity offers the chance to work closely with entrepreneurs and high-growth businesses, managing deals from inception to close, while developing trusted client relationships.

Location:

  • Boston, MA

Duties:

  • Provide high-level guidance and innovative solutions to clients on venture capital, private equity, and other corporate transactions

  • Manage all aspects of transactions, from inception to close, including client management

  • Draft, review, and negotiate acquisition, financing agreements, and related documentation

  • Proactively manage regulatory, risk, and compliance matters

  • Act as a trusted advisor to clients, providing strategic legal counsel on various corporate matters

  • Handle mergers, acquisitions, strategic licensing, and other corporate work, including debt and equity financings

  • Maintain a client-focused approach and build long-term relationships with clients

Requirements:

  • 3 years of experience in a large firm handling corporate, private equity, and M&A transactions

  • Experience with venture capital, private equity financings, acquisitions, divestitures, and contract negotiation

  • JD with high academic achievement

  • Strong interpersonal, communication, analytical, technical, and negotiation skills

  • Proactive, entrepreneurial, and resourceful with the ability to manage multiple priorities and deadlines

  • Proven ability to develop and maintain strong client relationships

  • Member of the Massachusetts Bar

  • Knowledge of federal and state securities laws

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Licensed to practice law in Massachusetts

Skills:

  • Expertise in M&A, private equity, venture capital transactions

  • Strong drafting, negotiation, and contract review skills

  • Client relationship management and advisory

  • Ability to manage multiple complex transactions and meet deadlines

  • Excellent communication and negotiation skills
