A law firm in Syracuse is seeking a Corporate Associate Attorney with 4+ years of corporate/transactional experience. The ideal candidate will have a strong background in M&A, business formation, corporate governance, and contract drafting and negotiation.

 

Job Duties:

  • Handle M&A transactions, including due diligence and contract negotiation.
  • Assist in the formation of business organizations, including drafting operating agreements, shareholder agreements, and buy/sell agreements.
  • Provide counsel on corporate governance matters.
  • Draft and negotiate corporate documents such as distribution agreements, commercial contracts, and bank financing agreements.
  • Offer general business advice and counseling to clients.
  • Conduct legal research and analysis.
  • Communicate effectively with clients, colleagues, and external parties.

 

Requirements:

  • 4+ years of corporate/transactional experience.
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admitted to practice law in the state of New York.
  • Strong understanding of corporate law principles.
  • Experience with M&A transactions and contract drafting and negotiation.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and as part of a team.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admitted to practice law in the state of New York.

 

Skills:

  • Strong understanding of corporate law principles.
  • Experience with M&A transactions and contract drafting and negotiation.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Legal research and analysis skills.
